Japan's Fujifilm Holdings is set to assume control Xerox Corp in a $6.1 billion (generally Rs. 38,775 crores) bargain, consolidating the USA organization into their current joint dare to pick up scale and cut expenses in the midst of declining interest for office printing.
Fujifilm Holdings Corporation has entered into a deal that combines Xerox with Fuji Xerox, creating an $18 billion industry juggernaut that has the potential to shift the balance of power in the intensely competitive printer market.
The deal is apparently aimed at delivering a more competitive edge in a climate of greater demand for digital equipment and paperless services.
Fujifilm Holdings also announced it will cut one-fifth of its global workforce - 10,000 jobs - at the joint venture with Xerox Corp.as part of a broader reorganization Wednesday.
They say the objective of the restructuring is to reorganize operations and streamline manufacturing bases.
The planned merger was announced on Wednesday. Current Xerox CEO Jeff Jacobson will remain as chief executive of Fuji Xerox.
Through restructuring and other reforms, the companies expect to save $1.7 billion a year by 2022.
Xerox has agreed to a $6.1bn takeover bid from Japan´s Fujifilm, just as fourth-quarter results provided evidence that its transformation strategy was making headway.
The deal has been unanimously approved by the boards of both companies. Darwin Deason, the third-largest investor in Xerox, also pushed for changes, arguing the company should explore alternatives, including a sale, and change its top management. The board will include seven members - including Komori - appointed by Fujifilm's board and five independent directors appointed from Xerox's board. Troy Tafoya, president of Fort Collins, Colo. -based Professional Document Solutions, said the combination of Xerox's ConnectKey software with Fuji's strong A3 and A4 device lines could help Xerox from a competitive perspective.
